Scope of Engagement

All consulting recommendations, analyses, and projected outcomes provided by Orderearly are based on the specific operational data, site conditions, and business constraints disclosed by the client during the engagement. Any material change in these factors—including but not limited to facility layout, product mix, labour availability, or carrier performance—may alter the projected results. Orderearly does not guarantee that projected savings or performance improvements will be realised if the underlying assumptions are not maintained.

Data Confidentiality & Use

Client data shared during assessments, audits, or ongoing consulting is treated as confidential and used solely for the purpose of delivering the agreed services. Orderearly does not share raw operational data with third parties without explicit written consent. Aggregated, de-identified benchmarks may be used for internal research or published case studies unless the client opts out in writing.

Implementation Responsibility

Orderearly provides strategic and tactical recommendations, but the implementation of those recommendations—including procurement of equipment, software integration, staffing changes, and carrier contract negotiations—remains the sole responsibility of the client. Orderearly may offer implementation support or project management as a separate, scoped engagement, but does not assume liability for execution delays, cost overruns, or operational disruptions caused by third-party vendors or client personnel.

Limitation of Liability

To the fullest extent permitted by law, Orderearly’s aggregate liability for any claim arising out of or related to its services—whether in contract, tort, or otherwise—shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim. Orderearly shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits, business interruption, or reputational harm, even if advised of the possibility of such damages.

Third-Party Tools & Data

Where Orderearly uses third-party software, datasets, or modelling tools (e.g., simulation platforms, route optimisation engines, inventory forecasting algorithms), the accuracy of outputs depends on the correctness and completeness of the input data provided by the client. Orderearly does not warrant the performance of third-party tools and is not responsible for errors arising from defective or outdated third-party software.

Governing Law

These terms and any disputes arising from the consulting relationship shall be governed by the laws of the Republic of South Africa. Any legal actions shall be brought exclusively in the courts of the Western Cape Division, Cape Town.
